These Terms govern your access to and use of the BetaPID platform, hardware, software, and any related services we provide.

1. Acceptance of Terms

By accessing or using the BetaPID Tech platform, services, hardware, software, or website (collectively the “Services”), you agree to be bound by these Terms & Conditions (“Terms”) and our Privacy Policy. If you do not agree, you may not use the Services.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Services. By using the Services, you represent and warrant that you meet these requirements and that the information you provide is accurate and complete.

3. User Accounts

To access certain features, you must register an account and provide accurate, current, and complete information. You agree to keep your account information up to date and to notify us promptly of any unauthorized use.

4. Account Security

Users are responsible for maintaining the confidentiality of their account credentials.

You are responsible for all activities that occur under your account. BetaPID is not liable for any loss or damage arising from your failure to protect your login credentials.

5. Services Provided

BetaPID provides industrial-grade hardware, a cloud-native software platform, intelligent automation tooling, and related professional services. Specific features, integrations, and deliverables depend on the plan or order you purchase.

6. Payments and Billing

Fees for the Services are described in your order, subscription plan, or quote. All payments are processed via authorized third-party payment providers and may be subject to applicable taxes, duties, and currency conversion fees. By submitting payment information, you authorize us and our payment providers to charge you the applicable amounts.

7. Subscription Services

Subscriptions renew automatically at the end of each billing cycle unless cancelled prior to the renewal date. The renewal will be charged at the then-current rate using the payment method on file. See our Cancellation Policy for details.

8. Intellectual Property

All content, trademarks, software, designs, and materials made available through the Services are the property of BetaPID Tech or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

9. Acceptable Use Policy

You agree to use the Services lawfully and responsibly, including:

  • Complying with all applicable laws and regulations.
  • Respecting the rights and privacy of other users.
  • Not interfering with the integrity, performance, or security of the Services.
  • Using the Services only for the purposes for which they were designed.

10. Prohibited Activities

You may not:

  • Reverse engineer, decompile, or attempt to extract the source code of the Services.
  • Use the Services to transmit malware, spam, or unlawful content.
  • Bypass or attempt to bypass authentication, billing, or rate-limiting mechanisms.
  • Resell or sublicense the Services without our written consent.
  • Use the Services in any way that violates intellectual property or privacy rights.

11. Service Availability

We strive to keep the Services available at all times but do not guarantee uninterrupted operation. The Services may be temporarily unavailable due to scheduled maintenance, upgrades, or factors beyond our reasonable control.

12. Third-Party Services

The Services may integrate with or rely on third-party platforms, APIs, or hardware. BetaPID is not responsible for the availability, accuracy, or content of any third-party services and your use of them is governed by their respective terms.

13. Limitation of Liability

To the maximum extent permitted by law, BetaPID and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising from your use of, or inability to use, the Services.

14. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

15. Indemnification

You agree to indemnify and hold harmless BetaPID Tech, its affiliates, officers, employees, and agents from any claims, damages, liabilities, or expenses arising from your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

16. Suspension and Termination

BetaPID reserves the right to suspend or terminate accounts that violate these terms.

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent or unlawful activity, or created risk to BetaPID or other users.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which BetaPID Tech operates, without regard to conflict-of-laws principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts of that jurisdiction.

18. Changes to Terms

We may modify these Terms at any time. When we do, we will update the “Last updated” date above. Your continued use of the Services after the changes take effect constitutes your acceptance of the revised Terms.
